Form 88(2) - Company Formation - UK Registration Services
Form 88(2) Allows you to allot additional shares in your company.
The number of additional shares which can be issued is the amount of the authorised share capital which has not yet been issued. The completed form 88(2) should be sent to the Registrar at Companies House.
Should you wish to issue more shares than the company's authorised share capital, you can increase your company's authorised share capital by passing a resolution at a general meeting. A copy of the resolution minutes together with Form 123 detailing the proposed increase must be sent to Companies House within fifteen days of the ordinary resolution being voted on and passed.
