Company Formation - What You Get

As soon as your company is formed you will receive the following:
1. Memorandum and Articles of Association
Memorandum and Articles of Association are standard documents which set out the constitution of the company.
2. Companies House Forms
- 225 (Allows you to determine the company's financial year end date)
- 88(2) (Allows you to allot additional shares in your company)
- 288(a) (Appointment of Director or Secretary)
- 287 (change in registered office address)
- J10 (transfer of subscriber share) Certificate of Renunciation of subscriber share.
3. Certificate of Non Trading
This certifies that the company has not previously traded, thus ensuring that no unknown liabilities exist.
Note:- Certificate of Incorporation
It is often a common misunderstanding about Certificates of Incorporation which are given out as part of an electronic formation. Approxinmately 80% of all company formations in this country are done electronically and this is constantly increasing.
Companies House do not, as standard, provide paper copies of incorporation certificates for entities which are electronically formed, and instead provide an adobe document. This Adobe document is deemed to be the original company certificate. Should you wish to have a paper copy, The Registrar of Companies gives guidelines on how these should be printed. They state that the Adobe certificate should be printed on to 160 gram Ivory card. This is the card which we use for our Bronze Plus, Silver, Silver Plus and Gold company formation packages.
