The Annual Return: Not Financial!

We’re often asked if dormant companies still have to file annual returns. The answer is yes, they do! Annual Returns do not deal with the financial side of a limited company, therefore being dormant is irrelevant.

The only way being dormant could impact upon the return is if the company chose to use the dormant company SIC code (99999), other than that, it simply doesn’t matter if the company is trading or dormant.

We are Sail Addressing. We are Sail Addressing.

The SAIL address (or the Single Alternative Inspection Location) is the address where registers and records are stored if they’re not kept at the registered office (it must be UK based). It is a completely optional address.

To let Companies House know if you have a SAIL address, or to notify them of a new SAIL address, simply complete and file this form.

Resigning a Limited Company Director and Appointing Another

resigning a director with companies houseIf you are using our Online Admin Portal to resign an existing company director and to appoint a new one, it’s important that you go about this the correct way.

Once logged into you company’s admin page:

Don’t select “Edit” next to the director you wish to resign and then proceed to update the current information so that it reflects the new director.

Do select “Resign” next to the director you wish to resign, once pending with Companies House (this notification will show at the bottom of your company’s admin page) select “Appoint New Director” and enter the details of your new director.

Your Company Needs to file Accounts, even if it’s Dormant!

If your UK Limited Company has never traded, you still have to file a version of company accounts called dormant company accounts. If your company falls into this category we do offer a dormant company accounts service whereby we’ll file the accounts on your behalf.

To do this all we require (once purchase has been made) is your company’s WebFiling Authentication Code and to know if the shares in the company are paid or unpaid.

For more information or to purchase our Dormant Company Accounts service click here:
