Articles of Association is a standard document which sets out the constitution of the company.
Constitutional items may include general meetings, appointment of directors, issue and transfer of shares, dividends, audits and accounting matters.
Most of the items contained in the articles can be changed either by an ordinary or extraordinary general meetings. Again the constitution will probably cover changing the procedures as well as the procedures themselves.
Articles of association are generally the same for the majority of UK companies as the rules and regulations contained in the standard documents issued when forming a company are generally reasonable and most companies are able to adhere to their contents.
