If you wish to renew, you will get the continued benefits of the registered office and service address services, preparation and filing of your Confirmation Statement, PSC register, 10 company credit checks and 20 day passes to our co-working space. We will let you know when the renewal is due.

The Registered Office is the registered address of a limited company, available to everyone on the public register and the location at which official documents can be served. With the registered office service, all your official government mail (from Companies House, HMRC, Government Gateway) will be sent to our premises and forwarded to you free of charge.

The Virtual Office Mail Forwarding service provides you with our Central London address which you can give to your clients - giving your business the appearance of working from a prestigious location. All your business and personal mail can be sent to our address and forwarded straight to you, plus junk mail is filtered so you only receive the pieces of mail that are essential to your business. Please note that ID verification will be required before your mail forwarding account is set up and any mail is posted to you.

The package includes a £20 deposit for the mail forwarding service, from which postage and handling fees will be deducted. We'll let you know when this deposit is running low so you can top it up.

We will provide you with a simple template to fill in upon purchase and we will get out experts to thoroughly check through and send to HMRC to register. Any issues, we will advise you accordingly. 

If you expect your turnover to be £85,000 or more in the next 12 months you will legally have to register your company for VAT. You can voluntarily register for VAT if you do not expect to exceed the £85,000 threshold, some do so in order to claim back VAT form other VAT registered businesses. 

All mail will be forwarded to you, regardless of where in the world you are located. All mail is covered by one of the two address services included in this package: Registered Office mail will be scanned and emailed to you, free of charge.

General business mail will be forwarded to you via the Virtual Office mail forwarding service at the Royal Mail standard charge plus a small handling fee which comes out of your postage deposit included in your formation package (We will email you when this needs to be topped up). 

A shareholder is someone who owns shares in a limited company. They own the company along with other shareholders (if there are others).

A subscriber is someone who was a shareholder at the time of the company's incorporation they do not need to remain a shareholder for the lifespan of the business but will always be listed as the initial shareholders/ owners of the company. 

A company Limited by Shares are the most popular type of limited company. They are owned by shareholders and have liability based on the value of the shares issued in the company. They are generally profit driven businesses and will have the suffix LIMITED or LTD at the end of their company name.

Technically speaking, a person of any age can be appointed as a shareholder of a company. However, it is important to note that appointing somebody under the age of 18 may result in some difficulties further down the line: This could be with contract signings, opening of bank accounts, then there is parental settlements and potential capital gains tax. 

We advise speaking to a business advisor or accountant if you are thinking about appointing somebody under the age of 18 as an owner of the business. 

There is no limit to the amount of shares you have issued into your company. You need to have at least one when creating a Limited by Shares company. There are different factors to consider such as the amount of capital needed to be raised, whether there is enough "cash on hand" to cover the amount of capital issued and what stipulations in regards to decision making is listed within the articles of association for the company. 

The default value and amount of shares issued upon incorporation is 1 share at 1 GBP, but this is entirely up to the company.

When forming a private limited company by Shares in the UK, you will need to have the following:

  • Proof of ID & Address

What's the difference?

We offer a mail forwarding service for UK and overseas (including PO Box addresses) customers in both our Registered Office and Virtual Office services. However, there is a difference in the type of mail that is forwarded for each service.

 

Registered Office Mail Forwarding

  • Is the receiving and forwarding of official mail (from particular Governing bodies) to you via scan - take a look at what is classified as official mail.
  • Does not include the receiving or forwarding of business/personal mail. For example, letters from your bank, customers, suppliers, etc. Therefore, you would need a Virtual Office service for this or you can provide an alternative address.

 

Virtual Office Mail Forwarding

  • Includes the receiving and forwarding of all business/personal mail to you. For example, letters from your bank, customers, suppliers, etc.
  • Can be used for marketing or advertising for your company. For example, if you currently have our virtual office service, the address can be on your website, business cards, email, etc.
  • Does not allow the authority to use the address as your company's registered office. Therefore, you would need a Registered Office service for this.
  • Does not include the receiving or forwarding of official mail. You would need a Registered Office service for this.

You will be notified via email if we receive any post for you that is included within your service. When you use our address as the registered office of your company, your company's Government mail will arrive at our address. We will then scan this across to you within 1 working day using our Digital Mailroom to the email address linked to your account with us on Companies Made Simple. 

You can also view a history of received letters through your Registered Office service in your Company Inbox

  • Your mail is delivered to our office by Royal Mail and courier. 
  • Once received, our post team sort the mail into categories in preparation for scanning. 
  • We use an industrial letter opener machine which opens 100s of letters per minute. 
  • The stacks of opened letters are then placed into the scanner, where the system matches the name against our database and sends the item to you. 
  • Where the system is not sure about a match it will defer to human analysis of the name and address. 
  • We store each physical batch for 7 days in case you require the original forwarded on. 
  • We employ a secure shredding company to destroy the physical items after this time.

The Registered Office service covers you for your Government mail*

*Government mail includes mail from UK governing bodies/ departments such as Companies House, HMRC, Government Gateway and the Intellectual Property Office that specifically relates to the administration of your business. The Registered Office service allows you to receive "Official Government" mail

The people that are required to provide ID will be the account holder, the director's and the People with Significant Control (PSCs). This is line with legislation that everyone considered having significant influence or control over a company and thus are the important decision makers will need to be ID checked. 

Companies House will be enforcing this as of Late 2023 through the Economic Crime and Corporate Transparency Act 2023

All officers of a company must be ID verified prior to an application (or request) being sent across to Companies House for approval.

With the help of Credas' digital ID software, our free online ID check is very simple to complete. You will just require:

  • Government-issued photo ID, i.e. passport or driving licence (not expired)
  • Proof of residential address issued with the last 3 months / annual statement, i.e. bank statement, utility bill, etc
  • A device with the ability to take a live selfie such as a webcam or camera phone.

During the online ID verification, Credas' facial recognition technology will check if you are present and determine whether your face (selfie) matches the photo on your ID.
